RecHound Terms and Conditions

1. Introduction

RecHound Pty Ltd ABN: 90 666 640 722 ("RecHound," "we," "us") is the Developer of RecHound, a web application ("Web App") designed for managing balance sheet reconciliation. 

By accessing and using the Web App, you agree to these Terms and Conditions, forming a legally binding agreement between RecHound Pty Ltd and you, the User. Please carefully review these Terms before using the Web App.

 

2. Use of Service

2.1 RecHound Pty Ltd ("Developer") grants Users access to the Web App at app.rechound.com for efficient balance sheet reconciliations.

2.2 The Web App is intended for business and professional use, specifically balance sheet reconciliations.

2.3 Users must comply with all terms and conditions outlined herein while using the Web App.

 

3. Features of RecHound

3.1 RecHound facilitates faster and more accurate balance sheet reconciliations by integrating seamlessly with Xero, a prominent accounting software platform.

3.2 Our tool saves time and enhances governance by ensuring quick reconciliations and robust control over financial data.

3.3 RecHound's key features include clearing transactions within balance sheet accounts, which is unique among similar tools.

3.4 Users can replace traditional methods like Excel with RecHound's cloud-based platform for centralised financial data management. 

3.5 RecHound offers a referral program to encourage network growth, for which separate terms and conditions apply. 

 

4. User Experience and Functionality

4.1 The Web App offers a user-friendly interface for viewing and interpreting financial reports from Xero.

4.2 Account balances are presented upon data sync, enabling Users to track data over time and make informed decisions.

4.3 Users can select and view transactions associated with specific balances, enhancing financial analysis.

 

5. Integration with Xero

5.1 RecHound securely accesses and utilises User data from Xero through Xero's API for reconciliation purposes.

5.2 Users must authorise and grant access permissions to integrate our service with their Xero account.

5.3 The User acknowledges that any data retrieved from Xero will be processed securely and stored only on the Developer's secure online hosting sites, fly.io and backblaze.

 

6. Subscription Payment and Management

6.1 Pricing is based on the number of connected companies, offering cost savings as the network expands.

6.2 Subscription tiers and pricing for accessing the Web App are outlined on rechound.com/pricing. 

6.3 Payment processing is handled through Stripe, allowing credit card, PayPal, and link payments.

 

7. Cancellation

7.1 Users can cancel subscriptions through Stripe without fees or penalties.

7.2 Your subscription will remain live and available until the end of the paid subscription billing period. 

 

8. Responsibilities

8.1 RecHound provides access to the service and integrates with Xero as per agreed terms.

8.2 Users must authorise integration with their Xero account.

 

9. Data Security, Privacy, and Global Compliance

 

Data Protection Measures

9.1 RecHound is committed to protecting sensitive information and ensuring compliance with data privacy regulations, including but not limited to the Australian Privacy Principle, General Data Protection Regulation (GDPR) for individuals within the European Union (EU) and the European Economic Area (EEA), the California Consumer Privacy Act (CCPA) for residents of California, the Personal Information Protection and Electronic Documents Act (PIPEDA) for data in Canada, and other applicable global data protection laws. RecHound ensures that its data collection, storage, and processing practices align with the principles and requirements of these regulations.

9.2 All data collected and processed by RecHound, including limited client data such as email addresses and names, will be stored exclusively on our secure hosting platforms. 

9.3 These platforms adhere to industry-standard security protocols to protect data from unauthorised access, disclosure, alteration, or destruction.

9.4 Access to databases containing User data is strictly limited to authorised RecHound employees who require access for legitimate business purposes. 

9.5 Access controls are implemented based on the principle of least privilege, ensuring that personnel access only the data necessary for their roles. 

9.6 Two-factor authentication (2FA) is enabled for all third-party vendors who may have access to limited client data for integration purposes, further enhancing security measures.

 

Personal Data Collection

9.7 RecHound collects minimal personal data necessary for providing our services, including the first name, surname, and Xero email address of Users. We do not collect any additional personal information unless explicitly provided by the User for specific purposes and with their consent.

9.8 RecHound acknowledges the importance of compliance with data privacy regulations and is committed to meeting its obligations under these regulations. 

9.9 User's data is processed lawfully, fairly, and transparently, with measures in place to ensure data accuracy, integrity, and confidentiality.

 

Data Management

9.10 User data is stored within our Web App for the duration of their subscription period. 

9.11 In the event of a subscription cancellation, User data will be retained until deemed necessary for deletion unless otherwise requested by the User.

9.12 If a User requests the deletion of their data, RecHound will promptly comply with their request, ensuring the secure and irreversible deletion of all User data from our systems.

9.13 RecHound guarantees access to User data for three months following the cancellation of their subscription, allowing Users to retrieve and export their data as needed within this timeframe.

9.14 By accessing and using the Web App, Users expressly agree to comply with all terms and conditions outlined herein regarding data usage, privacy, legal obligations, and user responsibilities, including but not limited to:

i.    Users agree to comply with data usage and privacy terms outlined herein.

ii.    RecHound ensures compliance with Xero's terms and data guidelines.

iii.   Both parties agree to uphold applicable laws, regulations, and industry standards.

iv.   This Agreement does not modify rights under the Australian Consumer Law (ACL).

v.    RecHound complies with the Privacy Act 1988 (Cth) and Australian Privacy Principles (APPs).

vi.   Users are responsible for safeguarding login credentials and promptly reporting any suspicious activities.

 

10. Support and Maintenance

10.1 RecHound is committed to providing regular updates and performing maintenance tasks to ensure compatibility with Xero's evolving features and functionalities.

10.2 Users of any API changes related to Xero will be notified of that API in a timely manner to keep them informed of any potential impacts on their usage of RecHound.

10.3 RecHound conducts daily checks to ensure the accuracy and integrity of the data presented within our web application. These checks are designed to maintain the reliability of our service and provide Users with confidence in the information displayed.

10.4 RecHound offers full technical support to clients using our web application.

10.5 Users can access technical support via email, phone or online meeting to address any questions, concerns, or issues they may encounter while using RecHound.

 

Limitation of Liability

10.6 While RecHound endeavours to provide consistent support, maintenance, and technical assistance as described in this clause, there may be instances beyond our control that prevent us from fulfilling these commitments. In such cases, RecHound shall not be held liable for any damages, losses, or disruptions resulting from circumstances including but not limited to server outages, technical failures, or force majeure events.

10.7 RecHound reserves the right to modify, suspend, or discontinue support, maintenance, or technical assistance temporarily or permanently without prior notice. However, we will make reasonable efforts to notify Users of any such changes in advance whenever feasible.

10.8 Users acknowledge and agree that RecHound's liability for any issues related to support, maintenance, or technical assistance is limited to the extent permitted by law.

 

11. Refund Policy

 

Subscription Refunds

11.1 Subscription fees already paid for the current billing cycle (monthly or annual)  are non-refundable, except where required by law.

11.2 Refunds will not be provided for subscription cancellations initiated after the end of the billing cycle, except in cases of non-compliance with ACL requirements.

 

Dispute Resolution

11.3 If a User disagrees with a refund decision or believes they are entitled to a refund under ACL provisions, they may escalate the matter through our internal dispute resolution process.

11.4 Users can request a review of the refund decision by contacting us via email at info@rechound.com, providing all relevant details and supporting evidence.

11.5 RecHound will make reasonable efforts to resolve the dispute in a fair and timely manner.

 

Statutory Rights

11.6 Nothing in this Refund Policy or the Terms and Conditions limits or modifies the User's statutory rights under the Australian Consumer Law (ACL) or other applicable consumer protection laws.

11.7 Requests for refunds must be submitted via email to info@rechound.com within a reasonable timeframe from the date of subscription or discovery of the issue, whichever is later.

11.8 RecHound reserves the right to assess each refund request on a case-by-case basis and may request additional information or documentation to process the refund.

 

Processing Refunds

11.9 If a refund is approved, RecHound will process the refund using the original payment method used for the subscription.

11.10 Refunds will be processed promptly, but the timeframe for receiving the refund may vary depending on the payment provider and banking institutions involved.

11.11 RecHound is not responsible for any fees or charges incurred by the User's financial institution during the refund process.

11.12 Users are entitled to remedies such as repair, replacement, or refund where goods or services are faulty, not of acceptable quality, or do not match the description provided.

 

12. Disclaimer

 

Accuracy of Information

12.1 RecHound strives to provide accurate and up-to-date information through its Web App and associated services.

12.2 While we make every effort to ensure accuracy, we do not guarantee the completeness, correctness, or reliability of any information on the Web App.

12.3 Users acknowledge that financial data and analysis provided by RecHound are for information and reporting and should not be considered professional financial or investment advice.

 

Earnings and Financial Projections

12.4 RecHound does not guarantee specific earnings, financial outcomes, or results from using the Web App.

12.5 Any financial projections or estimates within the Web App are for illustrative purposes and may not reflect actual results.

12.6 Users understand that actual financial performance may vary based on numerous factors.

 

Third-Party Content and Integration

12.7 RecHound is not responsible for the accuracy or legality of third-party content or services integrated into the Web App.

12.8 Users acknowledge that reliance on third-party content or services is at their own risk.

 

Use of Results and Decisions

12.9 Users are solely responsible for the use of information obtained through the Web App.

12.10 RecHound disclaims liability for consequences resulting from decisions made based on information provided by the Web App.

 

Software Functionality and Updates

12.11 RecHound reserves the right to make changes or updates to the Web App without prior notice.

12.12 RecHound disclaims any liability for issues arising from software updates or modifications.

 

Limitation of Liability

12.13 RecHound's liability is limited to the extent permitted by law.

12.14 RecHound shall not be liable for any direct, indirect, incidental, or consequential damages.

 

13. Acceptance of Terms and Conditions

13.1 By accessing and using the Web App, Users acknowledge that they have read, understood, and accepted the terms of these Terms and Conditions, including the Refund Policy and Disclaimer.

13.2 Users agree that their use of the Web App is at their sole risk.
